Dear Fellow Attorney:	 

	I have decided to semi-retire and retire in the next six to twelve
months, and sell my law office and practice, preferably as a going concern.
This would include the following assets:

	1.	Law Office building at 419 West Benton with two offices and
a large secretary work area with two work stations, a kitchen a bathroom and
storage areas appraised at $95,670.00.

	2.	All existing office books, equipment, furniture and
computers  (consisting of four computer work stations and processors) all in
good operating condition and worth about $10,000.00.

	3.	The existing client base, phone numbers, and good will.
This provides a steady stream of business and client contacts (including
medium size PI cases), that has sustained me over the decades.  However, the
purchaser should consider an aggressive social media advertizing campaign
(to match other law offices).  This has significant value to any attorney.

	4.	The existing fee generating contingency files would be
transferred, but half of all fees generated would be retained by Charles
Johnson.  The income generated from these files presently pays much the
monthly office overhead expense.  

	5.	Charles Johnson would be available to mentor, assist and
consult on an as needed basis, at little or no additional charge.  See
Resume attached to this proposal below.

	The total price is $120,000.00; with $10,000.00 down, and the
balance of $110,000.00, secured by a Deed of Trust on the office, to be paid
with 3.98% interest over eleven years (132 monthly payments) of $1,030.00
each (substantially similar to a rent payment).  There would be no realtor
involved and these terms are negotiable to some extent.

Education

	Graduated from Pocatello High School in 1973 cum laude.  
	Graduated from the University of Utah in 1976 in three years with
two degrees (Finance and Economics) magna cum laude.  
	Graduated from the University of Idaho (where I was in the top 10%
of the first year class) with a Juris Doctor degree in 1979.

Work Experience

	Jury trial record of 17 wins, 2 ties (due to cost bills) and 1 loss.
Litigated cases in all state and federal courts, including several cases in
the Ninth Circuit and one in the U. S. Supreme court where was co-counsel.
Represented plaintiffs and defendants, debtors and creditors and credit
committees in bankruptcy, especially since the great recession. 

Successful Appeals

	Successfully litigated two appeals for plaintiffs in the Idaho
Supreme Court as follows:  Marcie Hill vs. American Family Insurance
Company, 150 Idaho 619, 249 P.3d 812 (2011).  Bennett and Walton vs. Patrick
and Allstate, 152 Idaho 854, 276 P.3d 726 (2012).  These were commented on
the ITLA internet and were noteworthy in the positive effect on injured
Idahoans.
